Carolina Small Business Development Fund (CSBDF) provides small business loans and financial training to start-ups. Volunteers and Mentors play a crucial role in the development of entrepreneurs and our small business clients.  CSBDF volunteers work alongside clients and staff to educate, coach, and mentor the small business community in the state of North Carolina. As a CSBDF volunteer, you can lend your expertise to provide one-on-one counseling/mentorship or give subject matter advice through workshops or webinars.

Certification of Information and Acknowledgement of Standards & Policies    

 In recognition of the fact that as a volunteer for the Carolina Small Business Development Fund, you will have access to trade secrets or confidential and proprietary information of Carolina Small Business.

I understand that, as used in this Agreement, the term “Confidential Information” shall mean all trade secrets, propriety business information, and other data or information that in any way relates to the present or future business of  Carolina Small Business, which is (1) maintained in confidence by Carolina Small Business; (2) is not generally available to the public or to competitors of Carolina Small Business; (3) might permit Carolina Small Business to obtain a competitive advantage over competitors who do not have access to such trade secrets, propriety business information, or other data or information; or (4) might permit competitors of Carolina Small Business to obtain a competitive advantage over Carolina Small Business in the event they obtained access to such trade secrets, proprietary business information or other data or information.  Without limiting the generality of the foregoing, Confidential Information shall include:


(a) All information concerning Carolina Small Business’s lending policies, practices, and procedures that is not generally available to the public or to competitors of Carolina Small Business;


(b) All information concerning Carolina Small Business’s marketing strategies, business proposals, business strategies or plans financial records, marketing materials and research, sales plans and strategies, and similar information that is not generally available to the public or to competitors of Carolina Small Business;


(c) All information concerning Carolina Small Business’s customers that is not generally available to the public or to competitors of Carolina Small Business, including but not limited to, information concerning customer’s identities, contact persons, agreements, account requirements, or preferences; and


(d) Any idea or technical data developed by Carolina Small Business and any other proprietary or business information of Carolina Small Business that is not generally available to the public or the competitors of Carolina Small Business.


I acknowledge that Confidential Information constitutes a unique and valuable asset of Carolina Small Business and that any disclosure or other use of Confidential Information other than for the benefit of Carolina Small Business would damage Carolina Small Business’s legitimate business interests and cause it irreparable harm.  Therefore I agree to maintain the confidentiality of Confidential Information of Carolina Small Business to which it has access in his/her capacity as a volunteer of Carolina Small Business Development Fund.    


CSBDF Disclosure Policy

(a)         not to use or disclose Confidential Information for any purpose other than that of carrying out as a contractor of Carolina Small Business those duties for the benefit of Carolina Small Business;

(b)      not to reveal or disclose any Confidential Information to a third party; except with the prior written consent of Carolina Small Business;

(c)     upon termination of his/her contract with Carolina Small Business, not to make any use whatsoever of Confidential Information without the prior written consent of Carolina Small Business; and

(d)       upon termination of his or her contract with Carolina Small Business, to return to Carolina Small Business or securely destroy any item(s) containing Confidential Information within its possession, custody or control in any form including but not limited to memos, reports, papers, notes, financial statements, letters, drawings, pictures, computer printouts, and software related to Confidential Information.


CSBDF Liability Policy

I do hereby release and discharge CSBDF and its officers, agents, servants, employees, clients, and affiliates from any and all claims for injuries, including death, damages, property damage, or loss which may have or may in future accrue to me in account of participating in or volunteering for the CSBDF. I further agree to indemnify and hold harmless and pay defense costs and defend CSBDF and its agents, servants, employees, other volunteers, and affiliates, from any and all claims resulting from injuries, including death, damages, property damage, or loss sustained by me and arising out of, connected with, or in any way associated the activities of the program of the use of client facilities or equipment. As a participant or volunteer in the program, I recognize the risk and acknowledge that there are certain risks of physical injury, including death, damages, property damage, or loss which I may sustain as a result of participating in any and all activities connected with such program, or the use of the facilities or equipment.
